Terms of Service

1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of Matter Desk ("the Service"), operated by Matter Desk Pty Ltd (ACN 697 017 502) ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
The Service is designed for Australian law firms and legal professionals. You must be at least 18 years old and authorised to bind your firm to these Terms. You are responsible for ensuring your use complies with all applicable professional conduct rules and regulatory obligations.
3. Account responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorised use. We are not liable for losses arising from unauthorised access to your account.
4. The Service
Matter Desk provides AI-assisted legal research, document analysis, memo generation, deadline management, time tracking, and related tools. The Service is a productivity tool for qualified legal professionals. It does not provide legal advice.
5. AI output and human review
All AI-generated outputs are preliminary drafts that require review by a qualified legal practitioner before any client-facing use. You acknowledge that:
- AI outputs may contain errors, omissions, or unsupported assertions.
- Where authority cannot be verified, the Service will display "Authority not verified".
- You bear full professional responsibility for any advice, document, or communication derived from AI outputs.
- We do not warrant the accuracy, completeness, or fitness for purpose of any AI output.
6. Deadlines and calculations
Deadlines calculated by the Service are based on rules derived from legislation and court rules. Calculated deadlines remain in a "proposed" state until explicitly confirmed by a human user. You are responsible for verifying all deadlines independently. We are not liable for missed deadlines.
7. Data ownership and licensing
You retain ownership of all data you upload to the Service, including documents, matter information, and work product. By using the Service, you grant us a limited licence to process your data solely to provide and improve the Service. We do not use your matter data to train AI models.
8. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of professional conduct obligations.
- Attempt to reverse-engineer, decompile, or extract source code from the Service.
- Interfere with or disrupt the integrity or performance of the Service.
- Share your account credentials with unauthorised users.
- Upload malicious files, exploit vulnerabilities, or attempt unauthorised access.
9. Pricing and billing
Paid plans are billed monthly or annually as described on our Pricing page. Prices are in Australian dollars and exclude GST. GST will be added at checkout for Australian customers. We may change pricing with 30 days' notice. You may cancel at any time; access continues until the end of the current billing period.
10. Limitation of liability
To the maximum extent permitted by Australian law, our total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages, including lost profits, missed deadlines, or professional liability claims.
For the avoidance of doubt, Matter Desk is a research and drafting tool. The solicitor retains full professional responsibility for all work product, deadline compliance, and client advice. Matter Desk's limitation of liability does not affect or limit the firm's own professional indemnity coverage.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your breach of these Terms, or your reliance on AI outputs without adequate human review.
12. Suspension and termination
We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or if required by law. Upon termination, you may request export of your data within 90 days. After 90 days, data will be deleted in accordance with our Privacy Policy.
13. Governing law
These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
